Anthropic has confidentially filed an S-1 registration with the U.S. Securities and Exchange Commission, the first formal step toward a public listing. The filing, submitted June 1, targets an October 2026 Nasdaq debut.

The path to the S-1

The confidential filing landed four days after Anthropic closed a $65 billion Series H round on May 28, which valued the company at $965 billion post-money. Because the S-1 is confidential, it isn't yet public on EDGAR — the SEC's public filing database — so terms could still shift before a public S-1 is filed closer to the offering.

The company's underwriters are reported to be Goldman Sachs, JPMorgan, and Morgan Stanley, in an offering expected to raise more than $60 billion.

The growth behind the filing

Anthropic's annualized revenue run-rate crossed $47 billion in May — a scale that makes a near-term IPO plausible in a way it wouldn't have been even a year earlier. Claude's enterprise and API business, alongside consumer subscriptions, has been the primary driver of that growth.

A confidential S-1 lets a company have the SEC review its filing privately before anything becomes public — common for large, high-profile IPOs so terms can be refined before market scrutiny begins.

Why it matters

For the AI industry: an Anthropic IPO would be one of the largest tech listings in years and a real-world test of how public markets price frontier AI labs — cash-burning, but at extraordinary growth rates.

For competitors: a successful listing gives Anthropic a permanent capital-raising channel independent of private mega-rounds, intensifying the arms race with OpenAI (also reportedly weighing its own path to public markets) and well-capitalized Chinese labs.

For enterprise customers: public-company reporting requirements would bring Anthropic a new level of financial transparency that its private-company rivals don't currently have to match.

What to watch

  • Whether the public S-1 filing appears on EDGAR ahead of the reported October timeline
  • Whether the $965B valuation holds, rises, or is trimmed once public-market investors weigh in
  • How OpenAI's own public-market plans, if any, respond to Anthropic moving first
